Sergeant TAP Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Sergeant TAP LLC ("Sergeant TAP," "we," "us," or "our") governing your access to and use of Sergeant TAP's website, platform, applications, tools, content, and related services, collectively the "Service."

Please read these Terms carefully.

THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE CERTAIN DISPUTES ON AN INDIVIDUAL BASIS AND A CLASS-ACTION WAIVER. SECTION 24 EXPLAINS THESE PROVISIONS AND HOW TO OPT OUT OF ARBITRATION.

By creating an account, accessing the Service, or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

1. About Sergeant TAP

Sergeant TAP provides tools intended to help members of the military community navigate civilian employment and help legitimate employers connect with military-affiliated talent.

Features may include:

  • Career and transition profiles;
  • Resume and cover-letter tools;
  • Employment opportunities;
  • Employer and candidate discovery;
  • Candidate and job recommendations;
  • Messaging;
  • Interview preparation;
  • Career-readiness tools;
  • Regional workforce programs;
  • Artificial-intelligence-assisted features; and
  • Other transition, recruiting, and employment-related functionality.

Features may change over time.

Sergeant TAP is a private company.

Sergeant TAP is not the United States Department of Defense, Department of Veterans Affairs, any branch of the Armed Forces, or any federal, state, or local government agency.

Use of Sergeant TAP does not imply government sponsorship, approval, endorsement, certification, or affiliation unless Sergeant TAP expressly identifies a specific relationship.

2. Eligibility

You must be at least 18 years old to create an account or use the Service.

The Service may be made available to:

  • Service members;
  • Veterans;
  • Military spouses;
  • Immediate military family members;
  • Employers and authorized employer representatives;
  • Approved regional administrators;
  • Approved sponsors or partner organizations; and
  • Authorized Sergeant TAP personnel.

Unless Sergeant TAP expressly approves otherwise, individual users must be United States citizens.

Eligible U.S. users may access Sergeant TAP while stationed, deployed, traveling, or residing outside the United States.

You may not create an account if you are prohibited from using the Service under applicable law.

By using Sergeant TAP, you represent that you satisfy the applicable eligibility requirements and that information you provide concerning eligibility is truthful.

3. Accounts

You agree to provide materially accurate information when creating and using your account.

You are responsible for:

  • Maintaining the security of your account;
  • Protecting your login credentials;
  • Activity occurring through your account;
  • Keeping important account information reasonably current; and
  • Promptly notifying Sergeant TAP if you suspect unauthorized access.

You may not:

  • Create an account for another person without authorization;
  • Impersonate another person or organization;
  • Misrepresent your employer, military status, qualifications, authority, or identity;
  • Share an account in a way that circumvents account permissions; or
  • Use another person's account without authorization.

We may require reasonable verification of identity, eligibility, employer status, or authority.

4. Military and Eligibility Verification

Sergeant TAP may use verification procedures for service members, veterans, spouses, employers, or other users.

Verification may include requesting documentation such as a DD Form 214 or other evidence reasonably related to eligibility.

Unless specifically requested by Sergeant TAP, do not submit unredacted Social Security numbers, military identification numbers, financial account information, government credentials, or unrelated sensitive identifiers.

Providing false, altered, fraudulent, or misleading verification information may result in immediate suspension or termination.

Verification by Sergeant TAP means only that the information reviewed satisfied the verification method used at that time. It is not a guarantee of identity, qualifications, character, employment suitability, military history, or any other fact.

5. Candidate Profiles and Visibility

Job-seeker profiles are not automatically made discoverable to employers.

Employer visibility is opt-in.

A candidate who enables employer visibility authorizes Sergeant TAP to make designated profile information available to eligible employers through the Service.

Initial employer-visible information may include limited summary information such as:

  • Name;
  • General location;
  • Branch of service;
  • Rank;
  • Current or recent job title;
  • Installation or base;
  • Core strengths;
  • Awards or medals; and
  • Other professional summary information designated for display.

Sergeant TAP may require additional candidate authorization before displaying more detailed information, including contact information.

Candidates may disable visibility or control access to additional information.

Disabling profile visibility does not retract:

  • Applications already submitted;
  • Messages already sent;
  • Information previously and intentionally disclosed to an employer; or
  • Information an employer has lawfully retained outside the Service following an authorized disclosure.

Employers may use information obtained through Sergeant TAP only for legitimate recruiting, employment, workforce-development, or other authorized purposes.

6. Matching, Ranking, and Recommendations

Sergeant TAP may use software, algorithms, automated systems, or artificial intelligence to help organize, recommend, or rank jobs or candidate profiles.

For example, employers may be shown visible candidates in an order reflecting Sergeant TAP's estimate of compatibility or relevance to an employer's active job opportunities.

Candidate and job recommendations may consider job-related information such as experience, military background, skills, training, credentials, preferences, role requirements, general location, and similar factors.

Sergeant TAP does not guarantee:

  • The accuracy of a recommendation;
  • A particular scoring methodology;
  • A particular ranking;
  • Compatibility between a candidate and employer;
  • That all relevant factors have been considered;
  • That a higher-ranked candidate is better qualified; or
  • That a lower-ranked candidate is less qualified.

Matching, ranking, and recommendation tools are discovery and decision-support tools only.

Sergeant TAP does not make hiring decisions for employers.

Sergeant TAP does not automatically hire, reject, disqualify, or advance a candidate.

Employers must exercise independent human judgment and may not treat a Sergeant TAP ranking, score, recommendation, or algorithmic output as the sole basis for an employment decision.

Employers are responsible for determining whether and how applicable laws governing automated employment tools, discrimination, notices, audits, accommodations, or employment decision-making apply to their use of any Sergeant TAP feature.

7. Artificial Intelligence and Generated Content

Some Sergeant TAP features use artificial intelligence.

AI-assisted features may help create or improve:

  • Resumes;
  • Resume summaries;
  • Cover letters;
  • Career materials;
  • Interview-preparation materials;
  • Skills descriptions;
  • Recommendations;
  • Matching-related information; and
  • Other content.

Artificial intelligence can make mistakes.

AI-generated content may be incomplete, inaccurate, inappropriate, outdated, or unsuitable for a particular employer or purpose.

You are responsible for reviewing content before relying on it, submitting it to an employer, publishing it, or using it to make a decision.

Sergeant TAP does not guarantee that AI-generated content is accurate, truthful, complete, original, legally compliant, or appropriate for your circumstances.

Users may download, edit, copy, modify, and use resume, cover-letter, interview, and similar output generated for them, subject to applicable law and third-party rights.

8. No Employment Guarantee

Sergeant TAP is not an employer, staffing agency, employment agency, professional employer organization, background-check company, or guarantor of employment unless expressly stated in a separate written agreement.

Sergeant TAP does not guarantee:

  • Employment;
  • Interviews;
  • Job offers;
  • Employer responses;
  • Candidate responses;
  • Candidate qualifications;
  • Job availability;
  • Salary or compensation;
  • Continued employment;
  • Job performance;
  • Employer performance;
  • Successful transition to civilian employment; or
  • Any particular career outcome.

Employers make their own hiring decisions.

Candidates make their own employment decisions.

9. Employer Responsibilities

Employers using Sergeant TAP must use the Service only for legitimate employment and recruiting purposes.

Employers are solely responsible for:

  • The accuracy and legality of their job postings;
  • Their recruiting practices;
  • Their screening procedures;
  • Interviews;
  • Hiring decisions;
  • Compensation disclosures;
  • Employment offers;
  • Background checks;
  • Immigration or employment-authorization requirements;
  • Workplace representations;
  • Compliance with employment and labor laws;
  • Compliance with anti-discrimination laws;
  • Compliance with applicable automated-decision or algorithmic-employment laws;
  • Compliance with notice or bias-audit obligations;
  • Compliance with consumer-reporting requirements; and
  • Their use and retention of candidate information.

Employers may not use Sergeant TAP to discriminate unlawfully on the basis of race, color, religion, sex, pregnancy, national origin, age, disability, genetic information, protected military or veteran status, or any other status protected by applicable law.

An employer may not use candidate information obtained through Sergeant TAP for unrelated consumer marketing, list sales, spam, data brokerage, or another unauthorized purpose.

10. No Background Checks

Sergeant TAP does not currently conduct criminal background checks, credit checks, employment background investigations, security-clearance investigations, or consumer reports.

Sergeant TAP does not independently verify every statement made by a candidate or employer.

Users are responsible for conducting appropriate diligence before entering employment, business, financial, or other relationships.

11. Job Postings

Employers may create and publish jobs through Sergeant TAP.

Employers represent that:

  • They are authorized to post the job;
  • The opportunity is genuine;
  • Material information is not knowingly false or misleading;
  • The position complies with applicable law; and
  • The posting does not unlawfully discriminate.

Sergeant TAP may reject, restrict, reformat, suspend, remove, or refuse to display a job posting or other content for any lawful reason, including suspected fraud, illegality, discrimination, inaccuracy, security risk, abuse, poor quality, expiration, or violation of these Terms.

Sergeant TAP is not obligated to review or verify every job posting.

12. Third-Party and External Jobs

Sergeant TAP may display employment opportunities or related information obtained from third-party sources.

Some opportunities may require users to apply outside Sergeant TAP.

Third-party job information is provided for convenience and discovery.

Sergeant TAP does not control third-party employers, job boards, websites, application systems, or services and does not guarantee the accuracy, completeness, legality, availability, or continued existence of third-party listings.

When you leave Sergeant TAP, you are responsible for reviewing and complying with the third party's terms and privacy practices.

Sergeant TAP may modify or discontinue the display of third-party jobs at any time.

13. Employment Scams and Prohibited Employer Conduct

Employers and recruiters may not use Sergeant TAP to engage in fraudulent or deceptive recruiting practices.

Without limiting other restrictions, users may not use Sergeant TAP to:

  • Request payment from a candidate as a condition of obtaining a job;
  • Send fraudulent checks;
  • Ask candidates to transfer, receive, forward, or launder funds;
  • Require candidates to purchase equipment from a designated person as part of a deceptive scheme;
  • Obtain banking credentials through false employment offers;
  • Conduct identity theft;
  • Harvest personal information for purposes unrelated to legitimate recruiting; or
  • Misrepresent an opportunity, company, compensation arrangement, or hiring authority.

Sergeant TAP may suspend or terminate accounts suspected of these activities without prior notice where reasonably necessary to protect users or the Service.

14. Messaging

Sergeant TAP may allow employers and candidates to communicate through the Service.

You are responsible for the messages you send.

You may not use messaging to:

  • Harass or threaten another person;
  • Send spam;
  • Conduct scams;
  • Distribute malware;
  • Solicit unlawful activity;
  • Obtain personal information deceptively;
  • Send discriminatory or abusive material; or
  • Violate another person's rights.

The Service is designed so that private messages are not routinely available to Sergeant TAP personnel, regional administrators, or sponsors.

Technical systems necessarily process and store information needed to transmit messages. Limited authorized technical access may occur where reasonably necessary to operate, secure, troubleshoot, protect, or enforce the Service or comply with applicable law.

15. User Content

"User Content" means information, text, resumes, job postings, messages, documents, logos, files, descriptions, feedback, or other content submitted through the Service.

You retain ownership of your User Content.

By submitting User Content, you grant Sergeant TAP a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, display, and otherwise use the User Content solely as reasonably necessary to:

  • Provide the Service;
  • Perform actions you request;
  • Maintain and secure the Service;
  • Improve functionality;
  • Enforce these Terms; and
  • Comply with law.

This license ends when the content is deleted from our active systems except to the extent continued retention is reasonably necessary for backups, legal obligations, security, dispute resolution, or other lawful purposes.

You represent that you have the right to submit your User Content and that Sergeant TAP's permitted use of it will not violate another person's rights.

16. Restricted Government and Sensitive Information

Sergeant TAP is not an authorized repository for classified or restricted government information.

You may not knowingly upload, transmit, or disclose through Sergeant TAP:

  • Classified information;
  • Controlled Unclassified Information that you are prohibited from disclosing;
  • Operationally sensitive military information;
  • Protected government data;
  • Government system credentials;
  • Passwords or authentication tokens;
  • Information prohibited from disclosure by military regulation, law, contract, security agreement, or government policy;
  • Full Social Security numbers unless specifically and lawfully requested through an approved process; or
  • Information you otherwise have no legal authority to disclose.

Users remain responsible for their own security, classification, nondisclosure, and government-information obligations.

17. Prohibited Uses

You may not:

  • Violate applicable law;
  • Violate another person's rights;
  • Impersonate another person or organization;
  • Create fraudulent accounts;
  • Harass or threaten users;
  • Post fraudulent jobs;
  • Scrape or systematically harvest candidate information;
  • Mass-download user data;
  • Sell or broker Sergeant TAP candidate information;
  • Use candidate information for unrelated advertising;
  • Circumvent privacy or visibility controls;
  • Circumvent access controls;
  • Attempt unauthorized access to accounts, systems, databases, or networks;
  • Introduce malicious code;
  • Interfere with Service operation;
  • Reverse engineer the Service except where applicable law expressly prevents such restriction;
  • Use bots or automated systems in a manner not expressly authorized by Sergeant TAP;
  • Copy or systematically extract the Service or its databases to create a competing database or service;
  • Probe or test security without written authorization;
  • Use the Service to facilitate discrimination or unlawful employment practices; or
  • Assist another person in doing any of the above.

18. Sergeant TAP Intellectual Property

Except for User Content and third-party material, the Service and its associated intellectual property are owned by Sergeant TAP or its licensors.

This includes, as applicable:

  • Software;
  • Source and object code;
  • User interfaces;
  • Designs;
  • Branding;
  • Trademarks;
  • Logos;
  • Databases;
  • Selection and organization of content;
  • Matching and recommendation systems;
  • Proprietary processes;
  • Documentation; and
  • Sergeant TAP-created content.

These Terms do not transfer ownership of Sergeant TAP intellectual property to you.

Subject to these Terms, Sergeant TAP grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.

19. Feedback

If you voluntarily provide product ideas, suggestions, improvements, recommendations, or other feedback about Sergeant TAP, you grant Sergeant TAP the unrestricted right to use, modify, implement, commercialize, or otherwise act on that feedback without compensation or obligation to you.

This does not transfer ownership of unrelated confidential information or User Content merely because you communicate with Sergeant TAP.

20. Email and Text Communications

By creating an account, you consent to receive electronic communications reasonably related to the Service, including account, security, transactional, legal, and service communications.

Sergeant TAP may send these communications electronically.

If you separately enroll in an SMS feature, you consent to receive messages associated with that feature as described at enrollment.

Message and data rates may apply.

You may revoke consent to optional automated text messages using the opt-out methods provided with the messaging program.

Withdrawing consent to optional text messages does not prevent Sergeant TAP from sending legally required or necessary non-SMS communications through other channels.

21. Organizational Customers and Separate Agreements

Employers, regional organizations, economic-development organizations, sponsors, workforce organizations, and other customers may enter into separate agreements, proposals, statements of work, order forms, subscription agreements, data-processing agreements, or other contracts with Sergeant TAP.

If a valid written agreement between Sergeant TAP and an organizational customer conflicts with these Terms concerning the same subject matter, the separately signed agreement controls to the extent of the conflict.

Pricing, implementation fees, subscription terms, renewals, payment obligations, cancellations, refunds, service levels, and negotiated commercial rights may be governed by those separate agreements.

The availability of Sergeant TAP to service members, veterans, and military families may be free even when organizations pay Sergeant TAP to sponsor, administer, or receive access to associated programs or services.

22. Privacy

Our collection and use of personal information are described in the Sergeant TAP Privacy Policy.

By using the Service, you acknowledge that information will be processed as described in that Policy.

23. Service Changes, Beta Features, and Availability

Sergeant TAP is an evolving platform.

We may add, modify, replace, test, suspend, or discontinue features or integrations.

Some features may be identified as beta, preview, experimental, early-access, or similar.

Such features may:

  • Change without notice;
  • Be incomplete;
  • Contain errors;
  • Produce unexpected results; or
  • Be discontinued.

We do not promise uninterrupted availability.

We may temporarily suspend access for maintenance, security, upgrades, outages, legal requirements, or other operational reasons.

24. Dispute Resolution and Arbitration

Please Read This Section Carefully

This Section affects your legal rights.

Except for disputes specifically excluded below, you and Sergeant TAP agree to resolve disputes through binding individual arbitration rather than a lawsuit in court.

Informal Resolution First

Before starting arbitration, the party bringing a dispute must send the other party a written notice describing:

  • The party's name and contact information;
  • The nature of the dispute;
  • The relevant facts; and
  • The relief requested.

Notices to Sergeant TAP must be sent to:

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.

If the dispute is not resolved, either party may proceed with arbitration.

Arbitration

Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules when those rules apply.

The arbitrator will have authority to award the same individualized remedies that would be available in court to the extent permitted by applicable law.

The arbitrator will apply these Terms and applicable law.

Arbitration may occur remotely where permitted by the applicable rules or otherwise at a reasonably convenient location.

Arbitration fees and costs will be allocated according to applicable AAA rules and applicable law.

Individual Proceedings Only

YOU AND SERGEANT TAP AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL PROCEEDING TO THE EXTENT PERMITTED BY LAW.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

Exceptions

Either party may bring an eligible individual claim in small-claims court.

Sergeant TAP may also seek temporary, preliminary, or other injunctive relief from a court with jurisdiction where reasonably necessary to address unauthorized system access, misuse of intellectual property, data theft, cybersecurity threats, or other conduct for which immediate equitable relief is appropriate.

30-Day Right to Opt Out

You may opt out of the arbitration requirement by emailing:

within 30 days after you first accept these Terms.

Use the subject line:

ARBITRATION OPT-OUT

Your notice must include:

  • Your name;
  • The email address associated with your Sergeant TAP account; and
  • A clear statement that you are opting out of the arbitration provision in the Sergeant TAP Terms of Service.

Opting out of arbitration will not affect your ability to use Sergeant TAP.

If Part of This Section Is Unenforceable

If a court or arbitrator determines that a portion of this arbitration agreement is unenforceable, the remainder will remain effective to the fullest extent permitted by law.

If the class-action waiver is determined to be unenforceable for a particular claim or request for relief, that claim or request will proceed in court rather than class arbitration, while arbitrable individual claims will remain subject to arbitration to the extent permitted by law.

25. Suspension and Termination

Sergeant TAP may restrict, suspend, or terminate access to some or all of the Service if we reasonably believe that:

  • These Terms have been violated;
  • An account is fraudulent;
  • A user presents a security risk;
  • The Service is being abused;
  • Continued access may harm another person;
  • Illegal activity may be occurring;
  • An employer is engaging in deceptive or discriminatory conduct;
  • Required fees under a separate agreement remain unpaid;
  • Continued service would create legal or operational risk; or
  • Suspension is otherwise reasonably necessary to protect Sergeant TAP, users, or the Service.

Where appropriate and reasonably practical, Sergeant TAP may provide an opportunity to correct a violation.

Sergeant TAP may act without advance notice where immediate action is reasonably necessary for security, fraud prevention, safety, or legal compliance.

Users may stop using the Service at any time.

Account-deletion requests may be submitted to hello@sergeanttap.com.

26. Third-Party Services

The Service may depend on or interact with third-party technology, websites, authentication providers, communications services, artificial-intelligence systems, or other services.

Sergeant TAP does not control all third-party systems.

Use of third-party services may be subject to separate terms or privacy policies.

To the maximum extent permitted by law, Sergeant TAP is not responsible for third-party services, outages, acts, omissions, security incidents, content, or conduct outside Sergeant TAP's reasonable control.

27. Informational Nature of the Service

Sergeant TAP provides employment, transition, and career-related tools and information.

Unless expressly stated otherwise, content provided through the Service is informational and is not:

  • Legal advice;
  • Financial advice;
  • Tax advice;
  • Immigration advice;
  • Veterans-benefits advice;
  • Security-clearance advice; or
  • Other licensed professional advice.

Users should consult qualified professionals when professional advice is required.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

SERGEANT TAP DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED.

SERGEANT TAP DOES NOT WARRANT THAT:

  • THE SERVICE WILL ALWAYS BE AVAILABLE;
  • THE SERVICE WILL BE ERROR-FREE;
  • INFORMATION WILL ALWAYS BE ACCURATE;
  • JOBS WILL REMAIN AVAILABLE;
  • EMPLOYERS OR CANDIDATES ARE WHO THEY CLAIM TO BE;
  • MATCHING OR AI OUTPUT WILL BE ACCURATE;
  • THE SERVICE WILL PRODUCE A PARTICULAR EMPLOYMENT RESULT; OR
  • THE SERVICE WILL MEET EVERY USER'S REQUIREMENTS.

Nothing in these Terms excludes a warranty or consumer right that applicable law does not permit us to exclude.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERGEANT TAP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOSS OF DATA, BUSINESS INTERRUPTION, OR SIMILAR LOSSES ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERGEANT TAP'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) $100; OR

(B) THE AMOUNT YOU PERSONALLY PAID SERGEANT TAP FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

For organizational customers with a separate written agreement, the liability provisions in that agreement control to the extent they conflict with this Section.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

Some jurisdictions do not permit particular exclusions or limitations, so some provisions may not apply to you.

30. Indemnification

Organizational Users

To the maximum extent permitted by law, employers and other organizational users agree to defend, indemnify, and hold harmless Sergeant TAP and its owners, officers, employees, contractors, affiliates, and agents from third-party claims arising from:

  • Their job postings;
  • Their employment practices;
  • Their recruiting conduct;
  • Their User Content;
  • Their use of candidate information;
  • Their hiring decisions;
  • Their violation of applicable law;
  • Their violation of these Terms; or
  • Their infringement of another person's rights.

Individual Job Seekers

Individual job seekers agree to be responsible for claims arising from their intentional unlawful conduct, fraudulent content, knowing violation of another person's rights, or material violation of these Terms.

Nothing in this Section requires an individual user to indemnify Sergeant TAP to an extent prohibited by applicable law.

31. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where federal law or another law that cannot validly be waived applies.

For disputes that are not subject to arbitration and are not properly brought in small-claims court, the parties consent to the jurisdiction of the appropriate state or federal courts located in or serving Chatham County, Georgia, unless applicable law requires another forum.

32. Changes to These Terms

We may modify these Terms as the Service evolves.

If a change is material, we will provide notice reasonably appropriate to the nature of the change.

Changes apply prospectively from their stated effective date.

If you continue using the Service after updated Terms become effective, your continued use constitutes acceptance to the extent permitted by law.

Material changes to the arbitration provision will not retroactively alter the treatment of a dispute for which a valid written dispute notice was already provided before the change became effective.

33. Copyright and Other Rights

Users may not upload or publish content that infringes another person's copyright, trademark, privacy, publicity, or other legal rights.

Sergeant TAP may remove or restrict access to allegedly infringing content where appropriate.

34. Electronic Communications

You agree that agreements, notices, disclosures, records, and other communications relating to Sergeant TAP may be provided electronically to the extent permitted by law.

You are responsible for maintaining a current email address associated with your account.

35. Assignment

You may not transfer your rights or obligations under these Terms without Sergeant TAP's consent.

Sergeant TAP may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or similar transaction, or to an affiliate or successor, subject to applicable law.

36. Severability

If a provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will continue in effect.

37. No Waiver

Failure by Sergeant TAP to enforce a provision of these Terms does not waive the right to enforce it later.

38. Entire Agreement

These Terms, together with the Privacy Policy and any applicable separately executed agreement, constitute the agreement governing use of the Service concerning their respective subject matter.

A separately signed agreement controls where these Terms expressly provide that it does.

39. Survival

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, previously granted rights, restrictions on misuse, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and accrued obligations.
